Participation Agreement
Effective Date: September 21, 2026
This Participation Agreement (“Agreement”) is entered into by and between Better Than College LLC, a Pennsylvania limited liability company and wholly owned subsidiary of Automation Transformation Corporation, a Delaware S-Corporation (“BTC” or the “Company”); and the undersigned Participant (“Participant” or “Student”).
This Agreement, together with the Terms of Service, Privacy Policy, and Liability Release, Waiver, and Assumption of Risk Agreement (collectively, the “Program Documents”), governs the Participant’s enrollment in and participation in the Better Than College certification program (the “Program”).
1. Program Overview and Structure
The Program is an in-person entrepreneurial certification program conducted in Philadelphia, Pennsylvania, commencing September 21, 2026. The Program is organized into cohorts of approximately fifteen (15) students, with a maximum total enrollment of three hundred (300) students. The Program provides curriculum, coaching, mentorship, workshops, networking opportunities, and collaborative business development activities designed to equip participants with practical skills and real-world experience.
2. Participant Representations and Warranties
By signing this Agreement, the Participant represents and warrants that: (a) the Participant is at least eighteen (18) years of age; (b) the Participant has the legal capacity and authority to enter into this Agreement; (c) all information provided in the application and enrollment process is true, accurate, and complete; (d) the Participant has read and agrees to all Program Documents; and (e) the Participant is entering into this Agreement voluntarily, without coercion or duress.
3. Participant Obligations
The Participant agrees to: (a) attend all scheduled in-person sessions, workshops, coaching sessions, and Program activities as required; (b) arrive punctually and prepared for all sessions; (c) actively and meaningfully participate in cohort activities, assignments, exercises, and business development projects; (d) comply with the Code of Conduct and all rules, policies, and guidelines established by BTC; (e) treat all participants, staff, mentors, coaches, instructors, and guest speakers with professionalism and respect; (f) complete all required assignments and deliverables by established deadlines; and (g) maintain the confidentiality of all Confidential Information as defined below.
4. Confidentiality
During the course of the Program, the Participant may receive, access, or be exposed to confidential, proprietary, or trade secret information belonging to BTC, Automation Transformation Corporation, mentors, coaches, instructors, guest speakers, or other participants (“Confidential Information”). Confidential Information includes, without limitation: BTC curriculum, course materials, proprietary methodologies, and business processes; business plans, financial information, and strategies of other participants; personal information of other participants, staff, or mentors; and any information designated as confidential.
The Participant agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent; (c) use Confidential Information solely for purposes directly related to the Program; and (d) return or destroy all Confidential Information upon completion of or departure from the Program.
5. Non-Disparagement
During the Program and at all times thereafter, the Participant agrees not to make any public or private statements that disparage, defame, or cast in a negative light Better Than College LLC, Automation Transformation Corporation, or any of the Released Parties. This provision does not restrict the Participant from making truthful statements in legal proceedings, government filings, or as otherwise required by law.
6. Non-Solicitation
During the Program and for a period of twelve (12) months following the Participant’s completion of, withdrawal from, or dismissal from the Program, the Participant agrees not to, directly or indirectly: (a) solicit, recruit, hire, or attempt to hire any BTC employee, contractor, mentor, coach, or instructor; or (b) solicit any BTC corporate partner or sponsor for competitive purposes.
7. Independent Status
Nothing in this Agreement creates an employer-employee, agency, partnership, joint venture, or fiduciary relationship between BTC and the Participant. The Participant is an independent individual and is not an employee, agent, representative, or partner of BTC. BTC is not responsible for providing health insurance, workers’ compensation, unemployment benefits, tax withholding, or any other employment-related benefits.
8. Force Majeure
BTC shall not be liable for any failure, delay, or modification in performing its obligations caused by events beyond its reasonable control (“Force Majeure Events”), including but not limited to: natural disasters, pandemics, epidemics, government orders, civil unrest, war, terrorism, utility failures, cyberattacks, venue unavailability, or any other event beyond BTC’s reasonable control.
9. Program Modifications and Cancellation
BTC reserves the absolute right to modify, restructure, suspend, or cancel the Program at any time, for any reason, in its sole discretion, with or without notice. Modifications may include changes to the schedule, curriculum, instructors, coaches, mentors, venues, cohort assignments, cohort size, format, or delivery method. No modification shall entitle the Participant to any refund.
10. Recordings and Program Materials
BTC may photograph, video record, audio record, or otherwise document Program sessions and activities for internal use, marketing, and educational purposes. Participants may not record any Program sessions or activities without prior written consent from BTC and all individuals being recorded.
11. Certification
Upon successful completion of all Program requirements as determined by BTC in its sole discretion, the Participant will receive a Better Than College certification. This certification is a proprietary credential issued solely by Better Than College LLC. The Participant acknowledges that this certification does not constitute a degree, diploma, license, or government-recognized credential, and carries no guarantee of transferability, recognition, or acceptance.
12. Term and Termination
This Agreement becomes effective upon the Participant’s signature and remains in effect until the earlier of: (a) the Participant’s successful completion of the Program; (b) the Participant’s voluntary withdrawal; (c) the Participant’s dismissal by BTC; or (d) the cancellation of the Program. All provisions intended to survive termination shall survive.
